SEBI has provided certain additional relaxations in relation to compliance with certain provisions of the SEBI (LODR) Regulations, 2015 in view of the COVID-19 pandemic which are briefly described in the following points. These relaxations are given to those listed entities which conduct their AGMs during the calendar year 2020 (i.e., till December 31, 2020).
- The SEBI circular has dispensed with the printing and dispatch of annual reports to shareholders and accordingly relaxed the LODR requirement of sending physical copies of the annual report to the shareholders.
- The sending of proxy forms to the holders of securities has also been dispensed with.
- Publication of advertisement in newspapers has been relaxed for all events scheduled until June 30, 2020.
- Relaxation is given from publishing quarterly consolidated financial results under regulation 33(3)(b) of the LODR for certain categories of listed entities.
- SEBI has also received representations from the banking and insurance companies and it has been conveyed by the regulator that these companies may submit consolidated financial statements for the quarter ended June 30, 2020, voluntarily. If they submit financial statements on a standalone basis only, they have to give reasons for the same.
