SEBI’s settlement order of 22 September 2026 disposed of specified adjudication proceedings against Adani Enterprises, Adani Total Gas, AWL Agri Business, Adani Green Energy and Adani Energy Solutions. The companies paid a combined ₹1.508 crore under the settlement terms, without admitting or denying the findings of fact and conclusions of law.
The allegations included undisclosed related-party transactions in Adani Enterprises’ FY2013 annual report and audit or limited-review reports signed by audit firms without valid peer-review certificates for the relevant periods. The order settles these specified proceedings; it does not determine every allegation concerning the group.
For audit committees, the case identifies two concrete controls to examine. Auditor appointment and continuation checks should cover the validity of required credentials when reports are signed. Related-party reporting should reconcile transactions involving subsidiaries with the disclosures required in the listed company’s reporting. These checks also matter when finance leaders, auditors or committee members change, because unresolved reporting obligations and historical records must pass to their successors.
