Coforge’s 11 September filing describes a dispute over how an external evaluation of its board and directors was handled, following the resignations of chairman O. P. Bhatt and D. K. Singh, chair of the nomination and remuneration committee (NRC). According to the company, its internal auditor compared the evaluation reports with meeting recordings and minutes. The company said only the two chairs had held the reports, and that the presentation omitted relevant findings, including the chairman’s lowest performance rating.

Singh’s resignation email described tensions between independent and executive directors and difficulty exercising independent judgement. Coforge disputed that account and said explanations had been sought from both chairs about the audit observations. It appointed interim chair Vivek Sharma to lead the search for additional independent directors and the process for electing a new chair; Beth Boucher was designated NRC chair.
