Taking its drive to weed out shell companies and inoperative businesses to the second stage, the Corporate Affairs Ministry (MCA) has brought in rules to tighten the verification process post-incorporation stage. In a recent amendment, Ministry of Corporate Affairs (MCA) has inserted a new Rule 25B under the Companies (Incorporation) Rules, 2014 (Incorporation Rules) providing for the procedure to be followed under Section 12(9) of the Companies Act, 2013 for physical verification of the registered office of the company. The New Rule 25B talks about the Physical Verification of the Company’s Registered Office. The Registrar, on the basis of the information or documents available on MCA 21, shall visit the registered address of company office and may also conduct physical verification of the said registered company’s office for the purpose of Section 12 (9) of the Companies Act 2013, in the presence of two independent witnesses of the same locality of the registered office. During such verification, if required, he may seek the assistance of local Police.
